Partner Conditions for Scale Monitor and CloudScaleLink
- Introduction
- These conditions govern the partnership and collaboration for the promotion and use of Scale Monitor and CloudScaleLink products.
- Scale Monitor and CloudScaleLink is a registered trademark of Preciz d.o.o., and all intellectual property rights related to the product and its associated services are the exclusive property of Preciz d.o.o.
- Trademark Usage
- Partners are authorized to use the Scale Monitor and CloudScaleLink trademark solely for the purpose of promoting the product in accordance with these conditions.
- Any unauthorized or misleading use of the Scale Monitor or CloudScaleLink trademark is strictly prohibited.
- Responsibilities of Partners
- Partners will actively promote Scale Monitor and CloudScaleLink products and its associated services within their region or agreed market segment.
- Partners are responsible for providing adequate support to customers, ensuring the correct installation and configuration of Scale Monitor and CloudScaleLink products, and offering first-line customer support.
- Pricing Policy
- Partners are not permitted to advertise, promote, or sell Scale Monitor and CloudScaleLink products at prices lower than the official list prices provided by Preciz d.o.o..
- Any promotional discounts or price reductions must receive prior written approval from Preciz d.o.o..
- Violation of this pricing policy may result in the termination of the partnership or other actions deemed necessary by Preciz d.o.o..
- Payment Terms
- All payments for products and services provided under this partnership agreement are due within 30 days from the date of invoice.
- Failure to comply with the 30-day payment term may result in late fees, suspension of partnership privileges, or termination of the partnership at the discretion of Preciz d.o.o..
- Partners must notify Preciz d.o.o. promptly if any issues arise that may affect their ability to make payments on time.
- Compliance with Local Laws
- Partners are responsible for ensuring that the sale, promotion, and use of Scale Monitor and CloudScaleLink products comply with all local laws and regulations in the territory where they operate.
- Any claims or representations made regarding the features or capabilities of Scale Monitor and CloudScaleLink products must be factual and in line with the official product documentation provided by Preciz d.o.o..
- Confidentiality
- Partners must maintain confidentiality regarding any non-public information related to Scale Monitor and CloudScaleLink products, including technical specifications, business strategies, and other proprietary information shared by Preciz d.o.o..
- This confidentiality obligation remains in effect throughout the duration of the partnership and for a period of 5 years after the termination of the agreement.
- Termination of Partnership
- The partnership may be terminated by either party with 30 days of prior written notice.
- Upon termination, the partner must immediately cease all use of the Scale Monitor and CloudScaleLink products, trademark and remove any promotional or marketing materials that feature the Scale Monitor and CloudScaleLink brand.
- Intellectual Property
- All intellectual property rights associated with Scale Monitor and CloudScaleLink products, including but not limited to trademarks, patents, copyrights, and proprietary technology, remain the exclusive property of Preciz d.o.o..
- Partners acknowledge that their participation in this partnership does not grant any ownership rights or licenses to the intellectual property of Scale Monitor and CloudScaleLink products beyond the limited rights granted under these conditions.
- Consent to Publish Partner Information
- By entering into this partnership, the partner gives Preciz d.o.o. express consent to publish and share the partner’s business name, logo, and related information on Scale Monitor and CloudScaleLink official website, social media platforms, and other marketing channels.
- This includes but is not limited to announcements regarding the partnership, promotional materials, and any collaborative activities between the partner and Preciz d.o.o..
- The partner can request updates or corrections to the published information at any time by contacting Preciz d.o.o..
- Governing Law and Dispute Resolution
- These conditions are governed by the laws of Slovenia.
Any disputes arising out of or related to these conditions shall be resolved through amicable negotiations. If negotiations fail, disputes will be resolved through arbitration in Slovenia.
